ISS is immediately seeking a Client Service Manager (CSM) to join its global team. Successful candidates will have an interest in financial operations and client service with a desire to learn more about the governance business. They should also have proven abilities to develop strong working relationships with external clients and product expertise in order to guide clients to better use ISS’ products/services.

CSMs must be adaptable, eager and efficient problem solvers, and able to lead cross-organization initiatives. Great communication skills are a must as they represent ISS to all levels of client management. Our clients span some of the world’s foremost hedge funds, pension funds and asset managers. Managing the relationships for a portfolio of clients exposes the CSM to a wide range of institution types and ensures a challenging role with daily client interactions. To succeed in the role, a CSM must learn and understand corporate governance and proxy voting services, learn about their client’s business, and bring that knowledge together to provide insight, best practices, and workflow efficiencies to those client organizations.

Performance is based on a combination of factors including account renewal rates, client communication, operational efficiency, and contract value growth. The Chief Compliance Officer will be responsible for overseeing and implementing all of the responsibilities of the Compliance Department of ISS, a dynamic and unique Registered Investment Adviser with a high public profile.

The Compliance Department is based in the ISS headquarters in Rockville, MD. Compliance is responsible for all compliance matters of the firm, including development and enforcement of compliance policies and procedures, management of regulatory filings and examinations, working with management to respond to requests for comment by US and offshore regulators, interfacing with current and prospective clients regarding due diligence and related matters, interfacing with internal and external auditors and on-going monitoring and assessment of firm-wide controls. The candidate will need to learn about and understand all aspects of ISS’ business and will interact with ISS personnel at all levels. In particular, this role requires close coordination with senior managers of ISS’ research and analytical, sales and marketing, and finance groups, and with members of the Information Technology (IT) Group, as well as interaction with ISS’ executive Leadership Team.

The ideal candidate will have a combination of law and business education and/or work experience, a background in legal research, excellent writing and proofing skills, strong technology skills, and exhibit an interest in securities law. The SCAS research analyst will report directly to the Associate or Senior Associate. The successful candidate will be responsible for supporting the SCAS research group in Manila and Rockville, and global markets. Such support includes, but is not limited to, the following responsibilities:

  • Perform research on new and existing securities litigation at the state, federal, administrative, and international levels. Such research requires a combination of internet research, utilization of professional research services (such as Westlaw, PACER, and others), and developing and maintaining key constituent contacts with law firms, claims administrators, banks, litigation funders and others both inside and outside the U.S.
  • Extraction of relevant data from research sources and entering such data into the SCAS research system accurately and efficiently.
  • Discussion and analysis of SCAS relevant events and legal developments
  • Database backfill projects
  • Putting together materials for SCAS research publications
  • Answering client e-mail inquiries concerning SCAS data and related matters
  • Ownership of various cross organizational projects such as developing and maintaining a dashboard of SCAS statistics and trending data

RESPONSIBILITIES:

  • Import data received from claims administrators into proprietary systems and reconcile data for completeness and accuracy. Ensure comprehensive audit trails for claims filings and deficiency resolution
  • Communicate with claims administrators any discrepancies in data received and obtain any missing data to complete reconciliation
  • Ensure disbursement payments are received to claims filed and resolve any discrepancies
  • Document and submit claims for Securities Class Action Service filing clients. Organize daily workload to ensure that required filing deadlines are met
  • Monitor key performance indicators to ensure the integrity of assigned data management areas
  • Work with clients prior to and during the claims filing process to answer client questions related to cases and upcoming claims, and procure the necessary documentation to successfully complete filings and resolve deficiencies
  • Furnish clients with reports pertaining to their claims filing activity, upcoming claims, and disbursement information. Apply client specific customizations to reports as needed
  • Perform account maintenance for clients
  • Work with internal holdings and client implementation teams to ensure that required client data is received in a timely and high quality manner
  • Build and enhance relationships with various groups in the industry (claims administrators, law firms, and custodians) to improve efficiency in claims filing and recognized loss calculations and improve the products and services offered to clients

POSITION OVERVIEW:

The Vote Execution (VE) team constitutes the last step of the ballot life in the voting process. The VE team consolidates and monitors the processing of vote instructions through voting applications and on to a ballot’s final destination. Clients can act on any meetings or ballots which ISS receives, and the VE team works to ensure that those instructions are processed out through the appropriate channels. Although most ballots are voted via the data feeds, there are times when manual intervention is required in order to vote proxies. As the final step before votes go out, the VE team often serves as a problem solver for meetings and ballots. VE provides final voting authority for all voting clients within ISS to ensure that every ballot is voted.

RESPONSIBILITIES:

  • Manage and improve processes that maintain and manage mission critical data for the proxy voting, proxy distribution, or security class action claims filing serviceS
  • Serve as a subject matter expert with regards to the process flow of proxies and any custodian specific issues
  • Represent ISS to clients during due diligence visits, renewal review meetings, and issue resolution sessions
  • Work with clients, custodians and others to answer questions and ensure successful issue resolution regarding the recon, proxy flow, and custodian account setups
  • Develop strong relationships with both internal teams and external constituents
