The Chief Compliance Officer will be responsible for overseeing and implementing all of the responsibilities of the Compliance Department of ISS, a dynamic and unique Registered Investment Adviser with a high public profile.

The Compliance Department is based in the ISS headquarters in Rockville, MD. Compliance is responsible for all compliance matters of the firm, including development and enforcement of compliance policies and procedures, management of regulatory filings and examinations, working with management to respond to requests for comment by US and offshore regulators, interfacing with current and prospective clients regarding due diligence and related matters, interfacing with internal and external auditors and on-going monitoring and assessment of firm-wide controls. The candidate will need to learn about and understand all aspects of ISS’ business and will interact with ISS personnel at all levels. In particular, this role requires close coordination with senior managers of ISS’ research and analytical, sales and marketing, and finance groups, and with members of the Information Technology (IT) Group, as well as interaction with ISS’ executive Leadership Team.

This position will report to ISS’ General Counsel and will require a hands-on approach to the position’s responsibilities, as well as management oversight of ISS’ Compliance staff.

RESPONSIBILITIES:

  • Implementing, maintaining and enhancing ISS’ compliance program to meet SEC (and other applicable) regulatory requirements
  • Implementing, maintaining and enhancing ISS’ policies and procedures designed to address risks and conflicts of interest

      • Lodge vote instructions to Australian or New Zealand registries on behalf of custodian bank clients. The task involves the following
      • Check relevant meeting information from the company’s notice of meeting (e.g., vote instruction deadline (date and time); correct fax number, phone number of the Registry or Company or office where the proxy forms will be sent; other requirements in order to lodge vote instructions
      • Prepare and lodge proxy forms to the registry / issuer on vote instruction deadline date; amending the proxy forms when necessary

The Vote Execution (VE) team constitutes the last step of the ballot life in the voting process. The VE team consolidates and monitors the processing of vote instructions through voting applications and on to a ballot’s final destination. Clients can act on any meetings or ballots which ISS receives, and the VE team works to ensure that those instructions are processed out through the appropriate channels. Although most ballots are voted via the data feeds, there are times when manual intervention is required in order to vote proxies. This role comprises many aspects of business finance, including the performance of monthly financial close duties, payroll and general accounting, balance sheet control, cash management, corporate income tax and VAT compliance work and assistance with statutory financial statements preparation. The role will be in support of the EMEA Controller and its responsibilities will cover ISS operations in Belgium, France, Germany, Spain and the UK. RESPONSIBILITIES

  • Completing the monthly accounting close process for the 6 EMEA entities in Belgium, France, Germany, Spain and the UK (2 UK companies), including payroll accounting, general accruals and prepayments, fixed assets accounting and other aspects of the financial close process
  • Preparation of income statement and balance sheet analytics for the region
  • Operations of the regional bank accounts, liaison with external banks, treasury management and administration, short term cash forecasting
  • Preparation of monthly, quarterly and yearly financial reporting data for the EMEA region for inclusion in the consolidated financial reporting package
  • Assistance with preparation of the financial statements of the Belgian, French, German, Spanish and UK companies for external audit
  • Income tax and VAT compliance work for the EMEA region, working in conjunction with external tax advisors. Involvement in tax audits as they arise
  • Other general accounting responsibilities and finance projects as required
DESIRED QUALIFICATIONS:
DESIRED EXPERIENCE AND QUALIFICATIONS:

  • An accounting qualification obtained from a recognized professional accounting organization with knowledge of UK, FRA or BE
    GAAP with US GAAP being an advantage
  • 5+ years’ experience spent either in audit or in a relevant accounting role, preferably within an international environment
  • Experience of income tax and VAT compliance
  • Strong analytical skills
  • Extremely well organized, with a detail oriented approach and hard-working
  • Stress resilient and flexible
  • Excellent language and communication skills, particularly in English and French
  • Excellent Excel skills in addition to experience of accounting ERP systems

ISS’ London office is seeking research interns for the spring of 2015. Research interns will assist ISS’ corporate governance analysts in the authoring and preparation of proxy analyses of the annual general meetings of publicly traded companies. Specific tasks include drafting vote recommendations, collecting data, and contacting corporate issuers with information enquiries.

DESIRED QUALIFICATIONS:
DESIRED EXPERIENCE AND QUALIFICATIONS:

      • A bachelor degree in law, finance, and/or economics, or in the process of obtaining such a degree
      • A good eye for detail, strong analytical ability, numeracy, strong oral and written communication skills, a basic understanding of capital markets, the ability to work independently while cooperating with other team members
