Abstract

Institutional Shareholder Services annually undertakes a detailed review and analysis of the structure and composition of markets across the globe in the yearly Market IQ documents. The background document examines the history and structure of the market from a governance perspective, including regulatory regimes, voting hurdles and procedures, compensation practices and shareholder ability to opine, dissident rights, investor organizations, history, and much more. In 2015, in Taiwan, we saw a few changes to laws and regulations to make it mandatory for all listed companies to appoint independent directors by 2017 and to estbalish audit committes by 2019. In addition, the Corporate Governance Center was set up in October 2013 by the Taiwan Stock Exchange according to a mandate by the Financial Supervisory Commission to review all major corporate governance matters.
