Institutional Shareholder Services Inc. (ISS) was founded in 1985 with the goal of promoting good corporate governance and raising the level of active and informed proxy voting among institutional investors.
In 1986, ISS launched its proxy advisory service to assist institutional investors in fulfilling their fiduciary obligations by providing comprehensive proxy analyses and in 1992 was first-to-market with agency voting services.
Since its inception, ISS has worked with a broad cross-section of governance stakeholders to provide expert guidance and leading solutions that help shareholders manage portfolio company governance risk and drive value. ISS pioneered the development of policy-based proxy voting recommendations and online voting and today is a recognized global leader in corporate governance solutions, providing the broadest research coverage in the industry, extensive experience in policy development, and end-to-end proxy voting and distribution solutions. ISS has expanded its offerings over the years to include turnkey securities class-action claims management, governance scores, and, most recently, governance data and modeling tools to support investment decision-making and engagement within portfolio companies. Most recently and with the acquisition of Stockholm-based Ethix SRI Advisors in September 2015, ISS is unique in its offering of comprehensive ESG solutions that enable investors to develop and integrate responsible investing policies and practices into their investment decisions, inform company engagements, and execute upon these policies through end-to-end voting.
ISS also provides corporations tools to effectively manage their governance practices through its wholly-owned subsidiary, ISS Corporate Solutions, Inc. (ICS). Founded in 1997, ICS operates independently of ISS.
In April 2014, Vestar Capital Partners acquired ISS from its former parent. Since that time, ISS has been operating independently and the ISS leadership team remains strong and stable. Since ISS became independent in 2014, it has experienced strong growth and innovation, most recently evidenced through the June 2016 launch of ISS Analytics, ISS’ screening platform delivering extra-financial data and analytics to investment professionals.
